Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of Signed Nation, a subscription platform operated by Signed Nation LLC ("Signed Nation," "we," "us"), available at signednation.com and related applications (the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Signed Nation is a guided college athletic recruiting platform for families. The Service provides a structured process, tools, and AI-assisted features to help a family build an athlete's Player Profile, build a list of schools to pursue, and communicate with college coaches. The Service is a guidance and organization tool — it is not a recruiting agency, is not affiliated with the NCAA, NAIA, NJCAA, or any athletic conference or institution, and does not represent or place athletes with any school.

3. Eligibility and Accounts

The Service is intended to be used by a parent or legal guardian ("Account Holder") on behalf of a student athlete ("Athlete"). If the Athlete is a minor, the Account Holder represents that they are that Athlete’s parent or legal guardian and are authorized to provide the Athlete’s information and act on the Athlete’s behalf in using the Service.

The Account Holder is responsible for maintaining accurate account information, for the security of their login credentials, and for all activity that occurs under their account.

4. Subscription, Billing, and Cancellation

• The Service is offered in three tiers. A family's tier determines which features and capabilities are available to that Athlete's account.
• Explore is available at no cost and without a payment method, and includes school search and fit information, building and prioritizing a school list, the Athlete's Player Profile, the schedule, and voice capture.
• Target is a paid subscription at the price shown at signup (currently $19.99/month per athlete profile) that adds AI-assisted coach outreach and sending, guided next actions, response reporting, and the full public Athlete resume, with up to five (5) active schools at a time.
• Recruit is a paid subscription at the price shown at signup (currently $39.99/month per athlete profile) that includes all Target features with an unlimited number of active schools. To maintain service quality and prevent abuse, sending on Recruit is subject to a fair-use limit of approximately 250 outbound sends per Athlete per month; Signed Nation may adjust this limit and will make reasonable efforts to notify Account Holders before a materially lower limit takes effect.
• There is no long-term contract. A subscription renews automatically each month at the then-current price, and the Account Holder authorizes Signed Nation and its payment processor to charge the payment method on file for each renewal, until the Account Holder cancels or downgrades.
• Billing is processed by Stripe, our third-party payment processor. Signed Nation does not store payment card details.
• Account Holders may change tiers, update payment information, or cancel their subscription at any time, without contacting Signed Nation, through the self-service billing portal available on the Account page.
• Downgrading between paid tiers (for example, Recruit to Target): if a downgrade leaves an Athlete's account over the new tier's active-school limit, schools that were already active remain active and sendable indefinitely. The limit only restricts activating new schools beyond the new tier's cap — it does not deactivate or lock schools already in progress.
• Canceling to Explore: if a membership is canceled or a payment method lapses, the account reverts fully to Explore. Previously active schools are no longer sendable, though the family retains the information it has already entered.
• Cancellation or downgrade stops future billing at the higher tier and takes effect at the end of the then-current billing period; access at the prior tier continues through the end of that period. Signed Nation does not provide partial-month or prorated cash refunds, except where required by law or as Signed Nation may grant at its discretion. Where a mid-cycle downgrade results in an unused portion of a payment already made, Signed Nation will issue that amount as an account credit applied to the Account Holder's next invoice through Stripe, rather than as a cash refund.

5. AI-Assisted Features

The Service uses AI-assisted tools to help draft outreach messages to college coaches and to help organize recruiting information. Signed Nation does not send any message to a coach or third party without the Account Holder's explicit review and approval — the Service does not autonomously send communications on a family's behalf. AI-drafted content is based on information the family provides and may require review for accuracy before sending.

6. No Outcome Guarantees

Signed Nation provides guidance, tools, and organization to support a family's own recruiting efforts. We do not guarantee that any athlete will be contacted by, recruited by, offered a roster spot by, or offered athletic or academic scholarship funds by any school or coach. Recruiting outcomes depend on many factors outside Signed Nation's control, including the athlete's own performance, academic profile, and each school's independent decisions.

7. User Content and the Player Profile

Account Holders and Athletes may submit information, statistics, media, and other content about the Athlete ("User Content"). The Account Holder represents that they have the right to submit this content and that it is accurate.

The Service includes a shareable public-facing “Player Profile” page. By using this feature, the Account Holder consents to the specific information they choose to include on that page (which may include the Athlete's name, sport, position, and selected statistics or media) being visible to anyone who has the page's link, and understands they control what appears there and can update or remove it.

Account Holders retain ownership of their User Content. By submitting it, they grant Signed Nation a limited license to store, display, and use that content solely to operate and provide the Service (for example, generating the Player Profile or an outreach draft).

8. Acceptable Use

Account Holders agree not to: provide false information about an Athlete; use the Service to harass, impersonate, or misrepresent identity to any coach, school, or third party; use the Service for any unlawful purpose; or attempt to interfere with or gain unauthorized access to the Service's systems.

9. Privacy

Signed Nation's collection and use of personal information, including information about minor Athletes, is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SIGNED NATION DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY RECRUITING OUTCOME WILL RESULT FROM ITS USE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNED NATION AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITY, OR GOODWILL, ARISING FROM USE OF THE SERVICE. SIGNED NATION'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY THE ACCOUNT HOLDER TO SIGNED NATION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). NOTHING IN THIS SECTION LIMITS LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, PERSONAL INJURY, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. IF ANY PORTION OF THIS SECTION IS HELD UNENFORCEABLE, THE REMAINDER OF THIS SECTION WILL REMAIN IN FULL FORCE AND EFFECT.

12. Termination

Signed Nation may suspend or terminate an account that violates these Terms, provides materially false information, or engages in abusive conduct toward Signed Nation staff, other users, or third parties (including coaches contacted through the Service). An Account Holder may stop using the Service and cancel their subscription at any time as described in Section 4.

13. Changes to These Terms

Signed Nation may update these Terms from time to time. Material changes will be communicated to Account Holders (for example, by email or an in-app notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Orange County, Florida, and each party consents to personal jurisdiction and venue in those courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO TRIAL BY JURY. EACH PARTY AGREES THAT ANY CLAIM WILL BE BROUGHT ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Nothing in this Section prevents either party from bringing an individual claim in small claims court.
